By accessing or using NeuraHive ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and NeuraHive Ltd, a company registered in England and Wales.

2. The Service

NeuraHive provides an AI-powered platform for creating, managing, and evolving websites. The Service includes the web application at neurahive.co.uk, our API, the E.N.Z.O AI engine, and any related tools and features.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

You must create an account to use most features of the Service. You agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Notify us immediately of any unauthorised access
• Be responsible for all activity under your account

You must be at least 18 years old to create an account.

4. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, defamatory, harassing, or fraudulent
• Violate any intellectual property rights of third parties
• Distribute malware, spam, or harmful code
• Attempt to reverse engineer or circumvent our systems
• Use automated bots to abuse the platform
• Impersonate any person or entity
• Engage in any activity that disrupts or burdens our infrastructure

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Intellectual Property

Your content: You retain ownership of the business information and prompts you provide. You grant NeuraHive a limited licence to use this content solely to provide the Service.

Generated content: Websites and content generated by E.N.Z.O on your behalf are owned by you, subject to any third-party licences (e.g. stock images from Unsplash).

Our platform: NeuraHive's software, branding, design systems, and AI models are our exclusive property. You may not copy, reproduce, or create derivative works without written permission.

6. Subscription & Billing

Some features require a paid subscription. By subscribing you agree to:

• Pay all fees as described at the time of purchase
• Provide valid payment information
• Automatic renewal unless you cancel before the renewal date

All fees are in GBP and inclusive of VAT where applicable. Payments are processed securely by Stripe. Refunds are issued at our discretion within 14 days of purchase if the Service has not been materially used.

7. Free Tier

We offer a free tier with limited features. We reserve the right to change or withdraw free tier access at any time with 30 days notice. Free tier usage is subject to fair use limits.

8. Third-Party Services

The Service integrates with third-party providers including Anthropic (AI), Stripe (payments), Supabase (database), and Unsplash (images). Your use of these integrations is subject to their respective terms. We are not liable for the acts or omissions of third-party services.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

AI-generated websites are starting points — you are responsible for reviewing and verifying all content before publishing.

10. Limitation of Liability

To the fullest extent permitted by law, NeuraHive's total liability to you for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold harmless NeuraHive, its directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these terms.

12. Termination

You may cancel your account at any time from your account settings. We may terminate or suspend your access at any time for breach of these terms.

On termination, your right to use the Service ceases immediately. We will retain your data for 30 days after which it will be deleted, except where retention is required by law.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these terms from time to time. We will give you at least 14 days notice of material changes via email. Continued use of the Service after changes take effect constitutes acceptance.
